Ship Smart Solutions arranges transportation by authorized third-party motor carriers and does not provide motor-carrier transportation under its own operating authority. Nothing on the website or portal, including references to capacity, equipment types, lanes, tracking, or transportation services, changes Ship Smart Solutions' legal capacity for a particular transaction.

2. Business Use and Eligibility

Our website and portals are intended primarily for business users, including shippers, customers, motor carriers, drivers, vendors, and other transportation-industry participants. You represent that you are legally able to use the website or portal and, when acting for a company or organization, that you have authority to bind or act for that organization as applicable.

3. Website, Portal, and TMS Integration

Our website and portals may connect with our Transportation Management System ("TMS") and other logistics technology to support quoting, booking, carrier assignment, dispatch coordination, tracking, account management, and document exchange, including rate confirmations, bills of lading, and proof-of-delivery documents. Information submitted through the website or portal may be transferred to those systems, and information generated within those systems may be displayed through the website or portal.

4. Accounts and Security

• You must provide accurate, current, and complete information when creating or using an account.
• You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account to the extent permitted by law.
• You may not share credentials with unauthorized users or attempt to access another user’s account.

Website or portal quotes are based on information available at the time and may change based on actual shipment characteristics, accessorial services, fuel charges, market conditions, carrier availability, regulatory requirements, or other relevant factors. Submission of a quote request does not obligate Ship Smart Solutions to arrange transportation. A shipment is accepted for brokerage only when Ship Smart Solutions issues or accepts a rate confirmation, load tender, portal confirmation, or other written confirmation. Freight Brokerage Services Terms apply only when they are provided, referenced, linked, incorporated, or otherwise agreed to in connection with the applicable transaction.

7. Acceptable Use

You may use our website and portals only for lawful business purposes. You may not:

• Use the website, portal, or systems in violation of law or these Website Terms.
• Attempt to gain unauthorized access to our systems, TMS, accounts, networks, or data.
• Submit false, misleading, fraudulent, infringing, or malicious information or content.
• Introduce malware, harmful code, automated scraping tools, or other technology that could disrupt or unreasonably burden our systems.
• Interfere with website or portal security, availability, authentication, or proper operation.
• Copy, reverse engineer, reproduce, or exploit protected website or portal functionality except as expressly permitted by law.

8. Intellectual Property

The website, portal, text, graphics, software interfaces, logos, the “One Partner. Every Move.” mark, and other brand or digital content are owned by or licensed to Ship Smart Solutions and are protected by intellectual-property laws. Except for ordinary business use of the website or portal, you may not copy, reproduce, modify, distribute, publicly display, or create derivative works from this content without prior written permission.

THIS SECTION DOES NOT MODIFY ANY EXPRESS OBLIGATION ASSUMED BY SHIP SMART SOLUTIONS IN A SEPARATE WRITTEN FREIGHT-BROKERAGE AGREEMENT.

12. Limitation of Liability for Digital Services

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIP SMART SOLUTIONS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING SOLELY FROM USE OF OR INABILITY TO USE THE WEBSITE OR PORTAL, INCLUDING LOSS OF DATA, LOST PROFITS, OR BUSINESS INTERRUPTION. LIABILITY ARISING FROM FREIGHT BROKERAGE OR OTHER LOGISTICS SERVICES IS GOVERNED BY THE FREIGHT BROKERAGE SERVICES TERMS & CONDITIONS AND APPLICABLE TRANSACTION DOCUMENTS, NOT THIS SECTION.

13. Suspension and Termination

We may suspend or terminate access to an account, website, or portal for conduct that violates these Website Terms, creates a security or legal risk, involves suspected fraud or misuse, or relates to non-payment or termination of an underlying business relationship. Obligations incurred before suspension or termination survive as applicable.

14. Privacy

15. Governing Law and Venue

These Website Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. These Website Terms constitute the agreement governing use of our website and portals, but do not replace or supersede separately applicable freight-brokerage agreements, rate confirmations, credit agreements, or other commercial contracts.
